1. Who we are

This website is operated by Pokoi Cosmetics B.V. i.o., acting through Semi Huerfano, a sole proprietorship registered with the Dutch Chamber of Commerce under number 84081473 and trading as Pokoi Cosmetics, with its business address at Tollensstraat 27B, 1053 RS Amsterdam, the Netherlands, and VAT identification number NL003911787B43. Contact: info@pokoi-cosmetics.com. We aim to respond within two working days.

Pokoi Cosmetics B.V. is in the process of incorporation. Until incorporation is complete, contracts are concluded on behalf of Pokoi Cosmetics B.V. i.o. by Semi Huerfano, who is bound by them and liable for their performance. On incorporation, Pokoi Cosmetics B.V. will ratify these contracts under Article 2:203 of the Dutch Civil Code and assume the obligations arising from them. Rights and obligations under these terms are unaffected by that transfer.

In these terms, "Pokoi", "we", "us" and "our" mean the party identified above; "you" means anyone who uses this website.

PART A – Using this website

2. Scope

These terms apply to your use of pokoi-cosmetics.com, to signing up for launch notifications, and to purchasing a Reservation Fee. By using the site you agree to them. If you do not agree, please stop using it.

3. Nothing on this site is a binding product offer

Everything shown about our future products – concepts, names, images, renderings, ingredients, sizes, prices and launch dates – is indicative and provisional. It describes what we currently intend, not what we are contractually committed to deliver.

In particular:

• formulations, packaging, ingredients and product names may change before launch;
• any product prices or retail prices shown are estimates and are not binding;
• any dates shown are targets, not commitments;
• we may delay or change the scope of our Kickstarter campaign;
• images may be renderings or mock-ups, and colours may differ from finished items.

This does not apply to the Reservation Fee itself. That is a real purchase on the terms in Part B, and those terms bind us.

4. Launch notification sign-ups

Signing up for notifications is free and voluntary, and creates no obligation on either side. When you sign up you confirm the email address is yours or that you may use it, and that you are at least 16. You can unsubscribe at any time via the link in any promotional email or by emailing info@pokoi-cosmetics.com.

5. Kickstarter

Our campaign will be hosted on Kickstarter, operated by Kickstarter, PBC – an independent third party we neither control nor are responsible for.

When you back our campaign, you do so on Kickstarter's platform and under Kickstarter's terms, not these ones. Payment for your pledge, delivery of rewards, and any dispute about them are governed by Kickstarter's terms and our campaign page. Kickstarter collects pledges only if the campaign reaches its funding goal.

The Reservation Fee sold on this website is a separate contract between you and us, governed by Part B below. Buying it is not a pledge and does not reserve a product.

6. Product information

The Pokoi system consists of two parts: a cosmetic serum and a scalp device.

The serum is a cosmetic product within the meaning of Regulation (EC) No 1223/2009. It is not a medicine. Nothing on this website is medical advice, and nothing here claims to treat, cure or prevent any disease or condition. If you have a skin or scalp condition, are pregnant or breastfeeding, or have concerns about an ingredient, speak to a doctor, dermatologist or pharmacist.

We recommend a patch test before first use if you have sensitive skin or known allergies. Full INCI ingredient lists and usage instructions are supplied with the finished product and on its product page.

The scalp device is a consumer electrical product, supplied with the instructions for use, safety information and conformity markings required for its category. It is not a medical device and is not intended for the diagnosis, treatment, prevention or monitoring of any disease or condition. Do not use it if you have an implanted electronic device such as a pacemaker or defibrillator, and follow the safety instructions supplied with it.

We make reasonable efforts to keep information here accurate, but do not warrant it is complete or current at any given moment.

7. Intellectual property

All content on this site – the Pokoi and Pokoi Cosmetics names and logos, text, photography, illustrations, product and packaging designs, layout, code and styling – is owned by or licensed to us and protected by copyright, trade mark and other rights.

You may view the site and print or download extracts for personal, non-commercial use. You may not otherwise copy, republish, distribute, adapt or exploit any part without our written permission.

You may not use our branding to imply an association that does not exist; systematically scrape, crawl or harvest content or email addresses; or use our content to train a machine learning or AI model without written permission.

8. Acceptable use

You agree not to use the site unlawfully or fraudulently; submit false or misleading information; attempt unauthorised access to the site or any connected system; introduce malware or attack the site; or submit automated or bulk sign-ups or purchases. We may suspend access where we reasonably believe these rules have been broken.

9. Availability

We provide this website on an "as available" basis. We do not guarantee uninterrupted or error-free availability, and may change, suspend or withdraw all or part of it without notice. You are responsible for the security of the device and connection you use.

This does not affect our obligations to you under Part B if you have purchased a Reservation Fee.

10. Links to other sites

We link to third-party sites, including Kickstarter and our social profiles, for convenience only. We do not control or endorse them and are not responsible for their content. Their own terms and privacy policies apply.

11. Privacy

How we handle your data is set out in our Privacy Policy, which forms part of these terms.

PART B – The Reservation Fee

12. What you are buying

For €8 you buy a Reservation Fee: the right to buy from our Super Early-Bird tier on Kickstarter, at a discount of at least 40% off our planned retail price, when our campaign goes live.

What a Reservation Fee is, and is not:

• You are not buying a product. Nothing is shipped to you now.
• You are not making an investment. You acquire no share, interest or return in our business.
• You are not placing a pre-order, and no product is reserved or manufactured for you.
• You are not making a Kickstarter pledge. To receive products you must still pledge on Kickstarter, separately, while our campaign is running, and pay for your reward there.
• Your €8 is not credit against your pledge and is not deducted from it. It is the price of the reservation itself.
• You are buying guaranteed access to a discounted tier that will otherwise be limited, and which typically sells out quickly on campaigns of this kind.

The value of a Reservation Fee lies in the discount it gives access to. It is not a deposit and not a part-payment.

13. What you get

13.1 How the discount is calculated

Your discount is at least 40%. Some rewards in the tier carry a larger discount than others, but whatever you choose, your discount will not be less than 40%.

Planned retail prices are planned prices. Our products are not yet on sale, so these are the prices we currently intend to charge once they are generally available. They are not established market prices and may change before launch, in either direction.

To ensure that a change in planned prices cannot reduce the value of a reservation, the discount is measured against the lower of:

• our planned retail price for the product, as published at www.pokoi-cosmetics.com on the day you bought your reservation; or
• the price at which we actually offer the product when it goes on general sale.

Both figures are compared on the same basis, excluding VAT, and in the same currency. VAT on a Kickstarter pledge is calculated separately by Kickstarter after the campaign, according to your country of residence.

If prices rise, the discount is calculated from the earlier, lower figure. If prices fall, it is calculated from the new, lower figure.

Indicative euro prices for the Super Early-Bird tier are published at www.pokoi-cosmetics.com. These are indicative, for the reasons set out above.

If the discount you actually receive turns out to be materially smaller than described here, email info@pokoi-cosmetics.com and we will refund your €8.

13.2 How you receive and use your reservation

Your Reservation Fee takes the form of a private link to our Super Early-Bird tier on Kickstarter. This tier is not shown on our public campaign page and can be reached only through that link.

We email the link to the address you purchased with before the campaign opens, so you have it on day one. We email you again when the campaign opens, and once more before it closes.

To use it: open the link while the campaign is running and back the Super Early-Bird tier in the normal way. Your pledge is made to Kickstarter, under Kickstarter's terms, as described in section 5.

Access links must not be shared. The tier holds a limited number of places. The link is not individually coded, and Kickstarter provides no means of preventing use by a third party to whom it has been forwarded. Places taken by others cannot be replaced. Section 17 sets out the position if a place is unavailable.

If a link is distributed publicly or posted on deal sites, we may cancel the tier, refuse pledges, or make the tier public. The discount will be honoured for purchasers of a reservation by one means or another.

13.3 Availability

The Super Early-Bird tier holds a limited number of places. We therefore sell a limited number of Reservation Fees and stop selling them once that limit is reached, so that every reservation sold has a place waiting for it.

If the tier is nevertheless full when you try to use your link, section 17 applies: we give you the equivalent benefit or refund you in full.

14. How the contract is formed, and payment

The contract is formed when you complete payment and we send you a confirmation email. If we cannot accept your purchase, we will tell you and refund you in full.

The price is €8, including VAT. There are no additional charges.

Currency. €8 is the price of the Reservation Fee. If you choose to pay in another currency at checkout, you pay the equivalent amount shown to you there, converted at the rate applied by our payment provider at the time. Any refund is made in the same currency you paid and for the same amount you were charged in that currency; because exchange rates move, the amount you receive back may differ slightly from €8 when converted, and we are not responsible for that difference.

Payments are processed by Stripe Payments Europe, Limited. We accept the payment methods shown at checkout, which may include iDEAL, credit and debit cards, and others. We never see or store your full card number or bank credentials. Payment is taken immediately.

Before paying you will see a summary of what you are buying, the total price including VAT, our identity, and these terms. The payment button is labelled to make clear that clicking it creates an obligation to pay.

15. Cancelling and refunds

15.1 Your statutory right to cancel – 14 days

You have the right to cancel this purchase within 14 days without giving any reason. The period ends 14 days after the contract is concluded – that is, 14 days from your confirmation email.

To cancel, tell us clearly before the period ends. Email info@pokoi-cosmetics.com, or use the model withdrawal form in the annex. A plain email is enough. To meet the deadline it is enough that you send your message before the period expires.

15.2 Our own cancellation promise – until we launch

A Reservation Fee may be cancelled at any time before the Kickstarter campaign goes live, for any reason, with a full refund – including after the 14-day period in section 15.1 has expired.

We will email holders at least 24 hours before the campaign opens, noting that this is the final opportunity to cancel. If that email is not sent, cancellation with a full refund remains available after the campaign has opened.

15.3 After the campaign opens

Once the campaign is live, a reservation can no longer be cancelled under section 15.2. The statutory right in section 15.1 continues to apply for its normal duration.

Cancelling a reservation does not cancel a pledge made on Kickstarter. Pledges are governed by Kickstarter's terms, as set out in section 5.

Sections 16 and 17 continue to apply.

15.4 How we refund

We refund without undue delay and in any event within 14 days of being informed, using the same payment method you used. Refunds cost you nothing. Once refunded, your reservation ends and your link stops being valid for you.

16. If the campaign does not take place

If the campaign has not gone live on Kickstarter by 31 December 2027, or if Pokoi Cosmetics decides before that date not to run it, reservation holders are entitled to a refund of the €8. We will notify holders by email at the address used for purchase, and refunds are issued on request within 90 days of that notification.

If the campaign runs but does not reach its funding goal, Kickstarter collects no pledges and no products are produced. Reservation holders are entitled to a refund of the €8, on request within 90 days of the campaign closing.

If the Super Early-Bird tier at launch differs materially from its description at the time of purchase, such that it is substantially less valuable than a purchaser could reasonably have expected, contact info@pokoi-cosmetics.com and the €8 will be refunded.

17. Faults, and unused reservations

A link does not arrive. Check your spam folder, then email info@pokoi-cosmetics.com and it will be resent.

A link does not work, or the tier is full. Email info@pokoi-cosmetics.com while the campaign is running. We will provide the equivalent benefit, by correcting the link, opening a place in the tier, or applying the same discount by another means. If that is not possible, the €8 is refunded in full.

The reservation is not used during the campaign. Access links work only while the campaign is running and cannot be extended, as the tier ceases to exist when the campaign closes. An unused reservation is not refunded. What the €8 purchases is access to the tier, which is provided when the campaign opens. Cancellation remains available at any time before that point under section 15.2, and we email holders at least 24 hours in advance.

The campaign was missed because of a fault on our side – the link arrived late, did not work, or notification that the campaign had opened was not sent. The €8 is refunded on request.

As a consumer you also have the statutory rights set out in Book 7 of the Dutch Civil Code, which these terms do not affect.

18. Changes to the Reservation Fee terms

Once you have purchased, we will not reduce your discount below 40%, shorten the period during which you can use your reservation, or add conditions to it. If circumstances force a change in your favour, or of a purely administrative nature, we will email you and explain. Changes to Part A do not affect a purchase already made.

19. Fair use

Reservations are limited to one per person. We may cancel and refund purchases that appear to be automated, duplicated, resold, or fraudulent.

PART C – General

20. Our liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; intent or deliberate recklessness (opzet of bewuste roekeloosheid); or any other liability that cannot lawfully be limited.

Subject to that, and to the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of business or loss of data arising from your use of this website.

For the Reservation Fee, our total liability to you is limited to the greater of the amount you paid us or the value of the discount you were entitled to – except where the law does not allow such a limit.

If you are a consumer: these terms do not affect your mandatory rights under Dutch and EU consumer law. Where any provision conflicts with a right that cannot be contracted away, that right prevails.

21. Changes to these terms

We may amend these terms. The current version is always at this address, with version number and last-updated date at the top. The version in force when you use the site applies to that use. Amendments do not apply retroactively to a Reservation Fee already purchased. Material changes affecting people already signed up or holding a reservation will be emailed before they take effect.

22. Complaints

Please email info@pokoi-cosmetics.com with the details. We aim to acknowledge complaints within five working days and resolve them within fourteen days, telling you if we need longer.

If you are a consumer in the EU and we cannot resolve matters between us, you may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

23. Governing law and jurisdiction

These terms and any dispute arising from them are governed by Dutch law. Disputes will be submitted to the competent court in Amsterdam, unless mandatory law lets you bring proceedings elsewhere. If you are a consumer, you keep the protection of the mandatory rules of the country where you live.

24. General

If any provision is invalid or unenforceable, the rest remains in force and the invalid provision is replaced by a valid one as close as possible to its intended effect. Our failure to enforce any part is not a waiver of our right to enforce it later. These terms are between you and us; no third party may enforce them.
